EnLink Midstream announces pricing of US$500 million of senior notes due 2028

EnLink Midstream, LLC has announced the pricing of US$500 million aggregate principal amount of 5.625% senior notes due January 2028 (the Senior Notes) at a price of 100% of their face value. The Senior Notes will be fully and unconditionally guaranteed on a senior basis by EnLink Midstream Partners, LP (ENLK), a subsidiary of EnLink. The sale of the Senior Notes is expected to close on 17 December, 2020, subject to customary conditions.

EnLink intends to use the net proceeds from this offering to repay a portion of the borrowings under its US$850 million term loan due December 2021.

The Senior Notes and ENLK's guarantee are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the Securities Act), or outside the United States to persons other than "US persons" in compliance with Regulation S under the Securities Act. The Senior Notes and ENLK's guarantee have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
